Terms of Service

These Terms of Service govern the provision of website design, development, hosting, and related services by A.H. Grace Ltd trading as North Studios.

By purchasing or using our services, you agree to the terms set out below.

1. Provider Information

2. Scope of Services

North Studios provides website design, development, and managed hosting services through a subscription model.

Services may include:

• website design and deployment
• managed cloud hosting
• security updates
• basic maintenance
• performance monitoring
• technical support
• optional integrations or additional features depending on service plan

The exact services included are determined by the plan selected at the time of purchase as published on the North Studios website.

3. Service Plans & Fees

North Studios offers multiple subscription plans with varying features.

Fees are charged on a monthly basis according to the selected plan.

The monthly service fee includes:

• website hosting
• security updates
• maintenance
• infrastructure management
• technical support as defined by the selected plan

All prices are published on the North Studios website and may vary depending on the contract term selected.

Shorter contract terms may carry a higher monthly fee.

Payments are due in advance each month via an approved recurring payment method.

4. Contract Term

Clients may select either:

• a 12-month service term, or
• a 6-month service term

The selected term begins on the date the website goes live.

During the initial contract term the agreement cannot be cancelled early.

After the minimum term has expired the agreement automatically converts to a rolling monthly contract.

Either party may terminate the agreement after the minimum term by providing 30 days written notice.

5. Website Development

North Studios develops websites using a proprietary framework and development system.

Websites are created based on:

• client supplied content
• branding materials
• agreed structure and layout

The website will be deployed once the client has approved the final version.

Launch timelines vary depending on the selected service plan and complexity of the project.

Typical timelines may range from 3–30 days depending on scope.

6. Intellectual Property & Ownership

All website frameworks, software code, layouts, visual design systems, structural architecture, and technical infrastructure used to create and operate the website remain the sole intellectual property of North Studios.

The client is granted a non-exclusive, non-transferable licence to use the website for the duration of the service agreement.

The client does not acquire ownership of:

• the website design
• the codebase
• the development framework
• backend systems
• hosting infrastructure

The client retains ownership of all materials supplied by them including:

• logos
• images
• branding
• written content
• business information

Retention of intellectual property by North Studios allows websites to be developed without an upfront design or development fee.

7. Website Content

The client is responsible for ensuring all supplied materials are lawful and do not infringe third-party intellectual property rights.

North Studios accepts no liability for claims arising from client supplied content.

North Studios reserves the right to remove or refuse content that is unlawful, defamatory, or inappropriate.

8. Hosting & Infrastructure

Websites are hosted on managed cloud infrastructure selected by North Studios.

This may include third-party infrastructure providers used to ensure security, reliability, and performance.

While reasonable efforts are made to maintain high uptime, uninterrupted service cannot be guaranteed.

North Studios is not liable for downtime caused by:

• infrastructure providers
• domain registrars
• DNS providers
• network failures
• third-party services

9. Domain Names

Domain names may either:

• a) be registered and owned directly by the client, or
• b) be registered and managed by North Studios on behalf of the client.

Where North Studios manages the domain, administrative control may remain with North Studios during the contract term.

Domain transfers may be subject to settlement of any outstanding fees.

10. Website Updates & Additional Work

Clients may request updates to their website.

Minor corrections may be carried out without charge at North Studios’ discretion.

Additional changes outside the original scope may be chargeable at an hourly rate or fixed development fee.

Clients will always be informed before any chargeable work is undertaken.

11. Suspension for Non-Payment

If payment is not received within 14 days of the due date, North Studios reserves the right to suspend the website.

Suspension may include:

• disabling the website
• restricting access to services
• pausing hosting infrastructure

Suspension does not remove the client's obligation to pay outstanding fees.

Accounts overdue by more than 30 days may result in termination of the service agreement.

Reactivation may be subject to a reinstatement fee.

12. Infrastructure Control

Where North Studios hosts or manages the website infrastructure, North Studios retains full administrative control over:

• servers
• databases
• hosting environments
• deployment systems
• DNS routing related to hosted services

In the event of suspension or termination, North Studios may disable or remove infrastructure connections associated with the website.

North Studios shall not be liable for loss of service resulting from such actions where payment obligations have not been met.

13. Data Retention

If a website remains suspended for more than 30 days due to non-payment, North Studios reserves the right to permanently remove the website and associated data from its servers.

Clients are responsible for maintaining their own copies of important website content.

14. Buyout Option

After the initial contract term has expired, the client may request to purchase full ownership of the website framework and codebase.

Any buyout fee shall be agreed in writing and will reflect:

• development effort
• intellectual property value
• transfer costs

Upon payment of the agreed buyout fee, website files may be transferred to the client.

Ongoing hosting and support will cease unless a separate agreement is made.

15. Third-Party Services

Websites may rely on third-party service providers such as:

• cloud infrastructure providers
• domain registrars
• email service providers
• payment processors
• analytics platforms

North Studios is not responsible for service interruptions caused by these providers.

16. Limitation of Liability

North Studios shall not be liable for indirect or consequential losses including:

• loss of profit
• loss of business
• loss of data
• loss of traffic or rankings

Total liability under this agreement shall not exceed the total fees paid by the client during the preceding 12 months.

17. Force Majeure

North Studios shall not be liable for failure or delay in performing obligations where such failure results from events beyond reasonable control including:

• natural disasters
• infrastructure outages
• government restrictions
• internet or telecommunications failures

18. Changes to Services

North Studios reserves the right to modify service features, infrastructure, or technology used to deliver the website where reasonably necessary to maintain service quality.

19. Governing Law

These Terms of Service shall be governed by and interpreted in accordance with the laws of the Isle of Man.
